If you spent part of 2024 and 2025 tracking beneficial ownership reporting requirements, watching deadlines move, and wondering whether your LLC needed to file, that chapter is closed.


On August 11, 2026, Treasury's Financial Crimes Enforcement Network issued a final rule permanently removing the requirement for U.S. companies and U.S. persons to report beneficial ownership information under the Corporate Transparency Act. The rule took effect on August 14, 2026. It makes the exemptions permanent that had been in place on an interim basis since March 2025, so for most domestic businesses nothing changes in practice, the change is that it's now settled.


FinCEN also announced it will delete information previously reported by U.S. persons from its beneficial ownership database. That includes information about company applicants, beneficial owners, and FinCEN ID holders where FinCEN reasonably believes the individual is a U.S. person. Separately, U.S. persons who obtained a FinCEN ID are no longer obligated to update or correct the information they originally submitted.


For most business owners, the practical takeaway is straightforward: if you were exempted under the March 2025 interim rule, you remain exempt, permanently. If your structure involves foreign entities or foreign individuals, the requirements haven't disappeared entirely and are worth reviewing. FinCEN has published a set of frequently asked questions alongside the final rule and is updating its guidance to match.
